These Terms of Service (the "Terms") govern your access to and use of dispatch and related services provided by JX Logistic ("JX Logistic," "we," "us," or "our") to motor carriers and their authorized representatives ("Carrier," "you," or "your"). By engaging our services, you agree to be bound by these Terms.
1. Services
JX Logistic provides truck dispatch services, including load sourcing, rate negotiation, broker vetting, paperwork coordination, and ongoing operational support. JX Logistic is not a motor carrier, freight broker, or freight forwarder and does not assume custody, possession, or control of freight.
2. Carrier Responsibilities
Carrier represents and warrants that it holds all required operating authorities, insurance coverage, and safety ratings necessary to lawfully transport freight in its operating jurisdictions. Carrier is solely responsible for the safe and timely performance of all transportation services and for compliance with all applicable federal, provincial, state, and local regulations.
3. Fees and Payment
Dispatch fees are charged as a percentage of gross line-haul revenue or as otherwise set out in the signed Carrier Agreement. Fees are due weekly upon invoicing. Late or unpaid invoices may result in suspension or termination of services.
4. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other in connection with these services, including rate sheets, broker contacts, and operational data, and to use such information only for the purpose of performing under these Terms.
5. Limitation of Liability
To the maximum extent permitted by law, JX Logistic's aggregate liability arising out of or related to these Terms shall not exceed the total dispatch fees paid by Carrier to JX Logistic in the three (3) months preceding the event giving rise to the claim. JX Logistic is not liable for cargo loss or damage, detention, layover, chargebacks, or any indirect, incidental, or consequential damages.
6. Termination
Either party may terminate services with seven (7) days' written notice. JX Logistic may suspend or terminate services immediately for non-payment, fraud, or material breach of these Terms.
7. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Disputes shall be resolved in the courts located in Toronto, Ontario.
8. Changes
We may update these Terms from time to time. Material changes will be communicated by email or through our website. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
